LAW NO. 152/2015 MODIFIES THE AREA OF THE REGISTRATION AT THE TRADE REGISTER, INTRODUCING NEW DISPOSITIONS FOR THE COMPANIES.

For example, the Law stipulates that the Tribunal can pronounce the dissolution of a company at the request of any interested person or at the request of the Trade Register if:
  • the company has not the statutory organs or they cannot meet,
  • the shareholders have disappeared or they don’t have a known domicile of the residence,
  • the headquarters do not respect the legal dispositions,
  • the activity of the company has ceased or the activity of the company did not begin again after a period of inactivity, which cannot be more than 3 years from the date of the registration in the Trade Register,
  • the company does not completed the social capital,
  • the company did not lodge the annual financial situation in the legal term.
Moreover, the dissolution can intervene if the company does not lodge in the legal term the Declaration stipulating that the company did not developed an activity from the constitution at the Minister of Finances.
Moreover, the same normative act eliminates the dispositions concerning the Register of personal money, introduced by the Government’s Urgent Decision no. 8/2015.
The term cannot overpass 60 working days to intervene the dissolution in the two cases.
Furthermore, the new dispositions expressively stipulate that the liquidation of a company shall be finished in a term of maximum a year from the registration of the mention of dissolution in the Trade Register.
Another novelty concerns the introduction of a unique identifier at a European level, which will be received by the Companies in the moment of their registration at the Trade Register.
The legal persons with headquarters in foreign countries that open branches in Romania shall demand their registration at the Trade Register of the headquarters of every branch.
In the end, Law no. 152/2015 expressively stipulates that the term of publication in the Official Gazette of the Extract of the Resolution attesting the registration in the Trade Register is now one working day.
